The Board and its work

The Board of Directors of Binero shall consist of at least four and no more than eight members. Binero's Board of Directors is elected by the Annual General Meeting for a period of one year. There are no rules governing how long a member may serve.

Ando Wikström

Born: 1964

Experience: Ando has over 30 years of experience in the real estate industry from various finance and accounting roles, primarily in listed companies. Ando also has experience from board assignments in Swedish and foreign companies, including companies subject to licensing requirements such as fund managers and banks within the Catella Group.

Education: Master of Science in Business and Economics, Stockholm University.

Other assignments: Advisor to Birger Bostad AB, including board assignments within the Birger Bostad Group. Board member of own investment and advisory companies and board member of Bostadsrättsföreningen Rådjuret nr 6.

Malcolm Lindblom

Born: 1963

Experience: Entrepreneur. Malcom founded Infrateq Group in 2021, which is part of the merger of companies that now form Binero. Malcolm also founded Hoist Group AB in 1994.

Education: Self-taught

Jonas Lundberg

Experience: Jonas has extensive experience from the banking and finance sector. Jonas was previously Global Head of Trading at SEB, where he was also responsible for major IT projects and IT procurement.

Jonas Feist

Jonas Feist

Experience: Jonas has 30 years of experience in the IT industry, including 20 years as an entrepreneur. He started the open source company Redbridge in 2003.

Education: Master of Science in Computer Science from Linköping University, Linköping University of Technology.

Profile picture Frode

Frode Kristian Danielsen
Member of the Board

Elected to the Board: May 2025

Born: 1966

Experience: Frode Kristian is a chartered accountant and has been a partner at PwC, where he led the Tromsø office and also served on the board. He has also been the partner responsible for BDO's establishment in Tromsø. Frode Kristian has extensive experience in auditing and advising large public and private companies, as well as leadership in the business sector. From 2019 to 2021, Frode Kristian was CEO of Narvikgården AS and chairman of the board of Site Narvik, where he promoted the establishment of green industry in the region. From 2019 to the present, Frode Kristian has been working as chairman of the board, board member and advisor for a number of companies.

Education: Higher education in economics and auditing from UiT The Arctic University of Norway and the Norwegian School of Economics. Also holds a degree in sustainable management from Innlandet University College.

Other assignments: Since 2019, he has been chairman of the board and strategic advisor for several companies, including Nova AS, Yeti Move AS, IT Partner Tromsø AS, Øveraasen; AS, Nor-El, and others.

The Board's rules of procedure

The company must comply with the provisions of the Swedish Companies Act regarding corporate governance. The Board of Directors of Binero has therefore established rules of procedure for its work, instructions regarding the division of duties between the Board and the CEO, which deal with the latter's duties and reporting obligations, and has established instructions for financial reporting. The rules of procedure are reviewed annually.

The Board of Directors holds regular meetings in accordance with a schedule set out in the rules of procedure, which includes fixed agenda items and items to be discussed as necessary. At its regular meetings, the Board of Directors dealt with the fixed agenda items for each Board meeting in accordance with the Board's rules of procedure, such as liquidity, business situation, budget, annual accounts and interim reports.

Evaluation of the work of the Board of Directors and the CEO

The Board intends to conduct an evaluation of its work. The Board conducts ongoing evaluations of the CEO's work.

Remuneration to the Board of Directors

Remuneration to the Board of Directors is determined by the Annual General Meeting. If, in any particular case, Binero assigns individual Board members tasks for the Company in addition to their regular Board duties (and any committee work), the Board shall decide on the remuneration, which shall be market-based and reasonable. The Board of Directors has the right to deviate from the guidelines if there are special reasons for doing so in an individual case.
